T-Mobile: We Like the US Cellular Transaction

T-Mobile’s plan to acquire the bulk of US Cellular’s operations for $4.4 billion makes strategic and financial sense, in our view. The transaction adds scale in a handful of large markets including Milwaukee, Wisconsin; Tulsa, Oklahoma; and Omaha, Nebraska and provides additional coverage across large swaths of 21 states. We’re increasing our fair value estimate to $180 from $175 to reflect the incremental value we believe this deal brings, tempered by our view that regulators may not approve the deal in its current form.

T-Mobile will eventually need to step up network investments to keep pace with AT&T and Verizon, which have dense fixed-line networks at their disposal. A costly acquisition could be necessary.

Company Profile

Deutsche Telekom merged its T-Mobile USA unit with prepaid specialist MetroPCS in 2013, and that firm merged with Sprint in 2020, creating the second-largest wireless carrier in the U.S. T-Mobile now serves 76 million postpaid and 22 million prepaid phone customers, equal to around 30% of the U.S. retail wireless market. The firm entered the fixed-wireless broadband market aggressively in 2021 and now serves nearly 5 million residential and business customers. In addition, T-Mobile provides wholesale services to resellers.
